Terms of Service

These terms explain how project approvals, custom orders, final sales, production, and use of the Avenoa website work.

Important custom-order policy

Approved custom, decorated, personalized, made-to-order, and specially sourced apparel is final sale, except for verified Avenoa errors, covered defects, or rights that cannot legally be limited.

1. Acceptance, eligibility, and scope

These Terms of Service ("Terms") govern use of the Avenoa website and any inquiry, quote, design service, sourcing service, decoration service, purchase, or order that refers to these Terms. "Avenoa," "we," "us," and "our" refer to Avenoa LLC. "Customer," "you," and "your" refer to the person or organization requesting or purchasing services.

By approving a quote or proof, paying an invoice or deposit, submitting an order, or otherwise expressly accepting these Terms, you agree to them for yourself and, if applicable, the business, team, club, school, event, or organization you represent. You represent that you are at least 18 years old and authorized to bind that organization.

An order-specific quote, proof, invoice, or written agreement accepted by Avenoa may add to these Terms. If a signed or expressly accepted order-specific document conflicts with these Terms, that document controls only for that order. Terms printed on a customer purchase order do not modify our agreement unless Avenoa expressly agrees in writing.

2. Services and order formation

Avenoa may source apparel and related products and coordinate product selection, design preparation, screen printing, heat-applied decoration, names and numbers, packaging, fulfillment, and delivery. The exact scope for a project will appear in the applicable quote or order confirmation.

Website content and preliminary discussions are invitations to request a quote, not binding offers. An order becomes binding only when Avenoa accepts it in writing and receives the required payment, final specifications, artwork, and approvals. Avenoa may decline a project that is unlawful, unsafe, infringing, abusive, outside our capabilities, or otherwise inappropriate.

3. Quotes, pricing, taxes, and payment

Quotes are valid for the period stated in the quote and may change before acceptance if product cost, inventory, freight, duties, or project scope changes. Unless expressly included, prices exclude sales tax, shipping, expedited service, special packaging, art conversion, and other optional charges. A valid exemption certificate must be provided before invoicing if an order is tax-exempt.

Required deposits, progress payments, final payment timing, and accepted payment methods will be stated in the quote or invoice. Avenoa may pause sourcing, design, production, or delivery while an undisputed amount is overdue. Inventory is not reserved until Avenoa confirms the order and receives the required payment.

If an obvious clerical, typographical, or pricing error appears before an order is accepted, Avenoa may correct it and give you the choice to accept the corrected quote or decline the project.

4. Products, brands, and availability

Avenoa sources products through third-party suppliers. Brand names and trademarks belong to their respective owners and are used for product identification. Availability, minimum quantities, size ranges, fabric, color names, construction, manufacturer specifications, and decoration compatibility can change without notice.

If an approved product becomes unavailable before ordering, Avenoa may propose a reasonably comparable alternative. We will not make a material substitution without your approval. Manufacturer size charts are guides, not guarantees of fit; when fit is important, request samples before approving the size breakdown.

5. Customer content, permissions, and intellectual property

You retain ownership of logos, artwork, photographs, names, marks, and other materials you provide ("Customer Content"). You grant Avenoa and our production partners a limited license to reproduce, format, transmit, modify solely for production, quality-check, and use Customer Content as needed to quote, proof, produce, and deliver the requested order.

You represent that you own or have all permissions required to use and provide Customer Content, including copyright, trademark, publicity, league, sponsor, player, roster, and parent or guardian permissions. You also represent that submitted names, numbers, sizes, and personal information are accurate and lawfully provided. Avenoa may request proof of authorization and may reject material we reasonably believe may violate another person's rights or applicable law.

Unless an order document says otherwise, Avenoa retains its pre-existing tools, templates, production methods, working files, unused concepts, and reusable design elements. After full payment, you may use the approved customer-specific final artwork for the project and your organization. Editable or native production files are included only when the quote says so. Avenoa will not publicly display customer-specific work as portfolio material without permission.

6. Design services and AI-assisted concepts

When included in the quote, Avenoa may prepare artwork, mockups, colorways, or placement directions. Optional AI-assisted tools may be used during concept exploration or artwork preparation, with human review before a direction is presented for approval.

AI-assisted output may resemble existing material, may not be unique, and may not qualify for copyright, trademark, or other exclusive protection. Unless expressly included in writing, Avenoa does not perform a trademark search, legal clearance, or registrability analysis. You are responsible for approving final content and obtaining legal clearance for any name, logo, slogan, or design intended for exclusive use.

7. Proofs, specifications, and customer approval

You must carefully review every proof and order specification, including wording, spelling, dates, names, numbers, quantities, product styles, sizes, colors, artwork, placement, orientation, price, and delivery details. Approval authorizes Avenoa to order materials and begin production according to the approved documents.

Avenoa is not responsible for an error that was visible in and reproduced from an approved proof or for incorrect information supplied or approved by the Customer. Proof approval does not excuse Avenoa from materially conforming production to the approved written specifications.

Digital proofs are visual guides, not exact physical samples. Screens, garment material, garment color, dye lot, texture, print method, ink, and transfer material can affect finished appearance. If an exact match is essential, tell us before approval so that a recognized color reference, physical sample, or production test can be included when available.

8. Sizing and normal production variations

Apparel manufacturing and decoration involve reasonable commercial variations. Minor differences in garment measurements, dye lots, fabric texture, seams, color appearance, ink or transfer finish, and decoration placement are not defects when they remain consistent with the approved specification and any tolerance disclosed in the quote or proof.

A size label does not guarantee the same measurements across brands or styles. Customer-selected fit, an approved size breakdown, normal shrinkage, ordinary wear, or failure to follow manufacturer care instructions is not an Avenoa production error.

9. Changes and cancellations

A requested change is effective only after Avenoa confirms it in writing. Changes may affect product availability, price, decoration method, and schedule and may require a revised quote and approval.

You may request cancellation before production, but custom design work, specially sourced products, supplier commitments, and production already completed may be nonrecoverable. You are responsible for reasonable, documented costs incurred before Avenoa receives the cancellation, including completed design work, nonreturnable merchandise, supplier restocking or cancellation fees, and committed production. Any remaining prepaid amount will be returned after those charges are applied. Once decoration begins, you may owe the full price for completed, in-process, or irrevocably committed goods.

10. Custom orders are final sale

CUSTOM APPAREL IS FINAL SALE.

Except for a Covered Claim described in Section 11, products specially sourced, custom-produced, decorated, altered, personalized, or otherwise made to your approved specifications are not returnable or exchangeable.

Final-sale treatment includes changes of mind, buyer's remorse, event cancellation, roster or sponsor changes, incorrect Customer-supplied information, incorrect size selection, approved spelling or artwork, approved colors or placement, normal fit differences, and disclosed commercial production variations.

This final-sale policy does not apply to a Covered Claim, including verified missing or incorrect items, material manufacturing defects present at delivery, covered transit damage, a material failure to match approved written specifications, or a covered decoration-workmanship defect. It also does not limit a remedy that applicable law does not permit us to limit.

11. Inspection, covered claims, and remedies

Inspect all items promptly after delivery and before distribution, wearing, washing, or alteration. Report visible shortages, incorrect products, shipping damage, or decoration errors within 10 calendar days after delivery. Report a latent decoration-workmanship or manufacturing defect promptly after discovery and no later than 30 calendar days after delivery. A deadline in these Terms does not reduce a right that applicable law does not allow us to limit.

A claim must identify the order, affected items and quantities, and the issue, and should include clear photographs. Keep the affected goods and, where practical, do not distribute, wear, wash, repair, or alter them until Avenoa has had a reasonable opportunity to review the claim. Returns require prior authorization.

A "Covered Claim" means a verified shortage or incorrect product or quantity, a material manufacturing defect present at delivery, covered transit damage occurring before delivery, a material deviation from an approved written specification, or a material defect in decoration workmanship. It does not include Customer-approved content, Customer-supplied errors, disclosed tolerances, normal size or dye-lot variation, normal wear, improper care, misuse, or damage occurring after delivery.

For a validated Covered Claim, Avenoa will, at our option and as appropriate, repair, redecorate, reproduce, replace, issue a proportional credit, or refund the amount paid for the affected items. Avenoa will cover reasonable return shipping for a validated claim when return is required. These remedies do not limit rights that cannot legally be limited.

12. Production timing and delays

Lead times begin only after Avenoa receives cleared payment, confirms inventory, and receives all required final specifications and approvals. Production and delivery dates are estimates unless Avenoa expressly identifies a date in writing as guaranteed. Customer delays, revised artwork, changes, late approvals, or missing information extend the schedule and may require rescheduling or expedited charges.

Avenoa will communicate material delays. If we cannot ship within an applicable promised period, we will provide any delay notice, cancellation option, or refund for unshipped merchandise required by law. The custom-order final-sale policy does not eliminate rights that apply to a qualifying shipping delay.

Neither party is liable for delay caused by events beyond reasonable control, such as supplier shortages, carrier disruption, severe weather, governmental action, labor disruption, utility or network failure, or other events that make timely performance commercially impracticable. This does not excuse payment for conforming work already completed.

13. Shipping, delivery, title, and risk

You are responsible for providing a complete and accurate delivery address and for charges caused by an incorrect address or requested rerouting. Avenoa may use third-party carriers and will reasonably assist with a timely carrier claim.

Unless the quote states otherwise, risk of loss passes when the carrier records delivery to the approved address. If you select and control the carrier or use your own freight account, risk passes when Avenoa delivers the order to that carrier. Title passes after full payment. Separate shipments may be used when reasonably necessary and disclosed.

14. Limited workmanship warranty and disclaimers

For 30 calendar days after delivery, Avenoa warrants that its decoration workmanship will materially conform to the approved proof and be free from material workmanship defects when the goods are used normally and cared for according to the applicable instructions. This limited warranty does not cover ordinary wear, improper laundering, misuse, post-delivery damage, Customer-supplied errors, or disclosed manufacturing and decoration variations. Any manufacturer warranty remains subject to the manufacturer's terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT FOR THE EXPRESS LIMITED WARRANTY ABOVE, AVENOA DISCLAIMS IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THIS DISCLAIMER DOES NOT APPLY WHERE OR TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED.

Website descriptions, mockups, samples, and photographs are representative unless expressly incorporated into an approved written specification.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AVENOA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOST OPPORTUNITY, OR EVENT-RELATED COSTS, ARISING FROM THE WEBSITE, SERVICES, OR AN ORDER. AVENOA'S AGGREGATE LIABILITY ARISING FROM AN AFFECTED ORDER WILL NOT EXCEED THE AMOUNT PAID TO AVENOA FOR THAT ORDER.

These limitations do not apply to fraud, willful misconduct, gross negligence, personal injury caused by Avenoa where liability cannot be limited, or any other liability that applicable law prohibits limiting. Some jurisdictions do not allow certain exclusions, so some of the above may not apply to you.

16. Customer responsibility and indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Avenoa and our personnel from third-party claims, damages, and reasonable costs arising from Customer Content, Customer-supplied specifications, lack of required intellectual-property or personal-data permission, or your material breach of these Terms. This obligation does not apply to the extent a claim is caused by Avenoa's unauthorized change, independently supplied content, negligence, or willful misconduct.

17. Website content and acceptable use

The website and its text, layout, branding, graphics, and other content are owned by or licensed to Avenoa and may be used only for lawful evaluation of our services. You may not interfere with the site, attempt unauthorized access, introduce malicious code, scrape it at scale, impersonate another person, infringe rights, or submit unlawful or deceptive material.

Representative images and mockups do not establish product availability, pricing, a client relationship, or a guarantee of identical results. The website may link to or rely on third-party services that Avenoa does not control. Use of those services may be subject to separate terms.

18. Dispute resolution and Florida law

Before filing a claim, the parties will send written notice describing the dispute and allow 30 days for good-faith resolution, unless urgent relief is reasonably necessary. Notices to Avenoa must be sent to contact@avenoa.ai with "Legal Notice" in the subject line.

Florida law governs these Terms without regard to conflict-of-law rules. Subject to applicable small-claims rights and any nonwaivable consumer venue right, a dispute will be brought in a state or federal court with jurisdiction where Avenoa maintains its principal place of business, and each party consents to that court's jurisdiction.

19. General terms

These Terms, the Privacy Policy, and accepted order documents are the entire agreement concerning their subject matter. If a provision is held unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. Headings are for convenience only.

You may not assign an accepted custom order without Avenoa's written consent. Avenoa may assign these Terms as part of a merger, reorganization, financing, or sale of the business. The parties are independent contractors. Provisions that by their nature should survive, including payment, intellectual property, warranty limitations, indemnity, liability, and disputes, will survive completion or termination.

We may update these Terms prospectively by posting a revised version with a new date. The Terms accepted for an existing order will continue to govern that order unless the parties agree otherwise in writing. Electronic approvals, signatures, and records may be used to form and document the agreement.
